1. Introduction
These Terms & Conditions ("Terms") govern the provision of services by The Dental Tech Company ("Company", "we", "our", or "us") to its clients ("Client", "you", or "your").

By engaging our services, signing a proposal, accepting a quotation, purchasing services, or continuing to use services provided by The Dental Tech Company, you agree to be bound by these Terms.

3. Services
We provide a range of technology and business support services for dental practices and healthcare organisations, including but not limited to:
  • Managed IT Services
  • Cyber Security Services
  • Cloud Services and Microsoft 365
  • Telecoms and Phone Systems
  • AI and Automation Solutions
  • Software Integrations
  • Wi-Fi and Network Infrastructure
  • Connectivity and Internet Services
  • Digital Marketing Services
  • Website Design and Hosting
  • Data Backup and Disaster Recovery
  • Consultancy and Project Services
  • Hardware Procurement and Installation
Specific services, deliverables, and pricing will be detailed within individual quotations, proposals, agreements, or statements of work.
4. Quotations and Orders
All quotations remain valid for thirty (30) days unless otherwise stated.

An agreement becomes binding when:
  • A quotation is accepted;
  • A proposal is signed;
  • A purchase order is issued;
  • Work commences at the Client's request.
We reserve the right to withdraw or amend quotations before acceptance.
5. Fees and Payment
Unless otherwise agreed in writing:
  • Invoices are payable within fourteen (14) days of issue.
  • Monthly recurring services are billed in advance.
  • Project work may require a deposit before commencement.
  • Hardware, software licences, and third-party services may require full payment before ordering.
Late payments may incur:
  • Interest at 8% above the Bank of England base rate;
  • Recovery costs permitted under applicable legislation;
  • Suspension of services until outstanding balances are cleared.
6. Contract Terms
Managed service agreements may be subject to minimum contract periods specified in the relevant agreement.

Unless otherwise stated:
  • Recurring services renew automatically.
  • Either party may terminate with thirty (30) days written notice after any minimum term has expired.
Early termination may result in charges covering the remaining contract period and any committed third-party costs.
7. Client Responsibilities
The Client agrees to:
  • Provide accurate and complete information.
  • Maintain valid software licences where required.
  • Cooperate with reasonable requests for access and information.
  • Ensure users follow security and acceptable use policies.
  • Notify us promptly of suspected security incidents or service issues.
Delays caused by the Client may affect delivery times and project schedules.
8. Third-Party Products and Services
Many services rely upon third-party providers including internet providers, software vendors, cloud providers, telecommunications carriers, and hosting providers.

We are not responsible for:
  • Third-party outages;
  • Vendor policy changes;
  • Product discontinuations;
  • Delays outside our reasonable control.
Any warranties provided by third parties remain subject to the terms of those providers.
9. Service Availability
While we aim to provide reliable and uninterrupted services, we do not guarantee uninterrupted availability.

Scheduled maintenance, upgrades, emergency repairs, and circumstances beyond our control may result in temporary interruptions.

Service level commitments, where applicable, will be outlined within individual agreements.
10. Cyber Security
We implement reasonable security measures and industry best practices.

However, no system can be guaranteed completely secure.

The Client acknowledges that cyber threats, ransomware, phishing attacks, data breaches, and other security risks exist despite reasonable safeguards.

We shall not be liable for losses arising from:
  • User negligence;
  • Weak passwords;
  • Unauthorised access;
  • Third-party compromises;
  • Failure to follow recommended security measures.
11. Data Protection
Both parties agree to comply with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.

Where we process personal data on behalf of a Client, additional Data Processing Agreements may apply.
12. Intellectual Property
All intellectual property rights relating to our methodologies, systems, software configurations, documentation, proposals, designs, and materials remain our property unless expressly agreed otherwise in writing.

Upon full payment, the Client receives a licence to use deliverables for their intended business purposes.
13. Website and Marketing Services
For website design, hosting, SEO, digital marketing, and related services:
  • Content supplied by the Client remains the Client's responsibility.
  • The Client warrants that all supplied content is lawful and does not infringe third-party rights.
  • Search engine rankings, lead generation, and marketing performance cannot be guaranteed.
  • Website launch dates are estimates and may be affected by client delays.
14. Hardware and Equipment
Risk in hardware passes to the Client upon delivery.

Manufacturer warranties apply where available.

The Client is responsible for maintaining suitable insurance for purchased equipment.
15. Limitation of Liability
To the fullest extent permitted by law:
  • Our total liability shall not exceed the fees paid by the Client during the preceding twelve (12) months.
  • We shall not be liable for indirect, consequential, incidental, or special damages.
  • We shall not be liable for loss of profits, revenue, goodwill, business opportunities, or data.
Nothing in these Terms excludes liability for death, personal injury, fraud, or any liability that cannot legally be excluded.
16. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control, including:
  • Natural disasters;
  • Power failures;
  • Telecommunications outages;
  • Government actions;
  • Cyber attacks;
  • Labour disputes;
  • Supplier failures.
17. Confidentiality
Both parties agree to keep confidential information secure and not disclose it to third parties except where required by law or necessary to perform contractual obligations.
18. Suspension of Services
We reserve the right to suspend services where:
  • Invoices remain unpaid;
  • Services are used unlawfully;
  • Security risks are identified;
  • Continued provision may expose us or others to risk.
Reasonable efforts will be made to provide notice where practical.
19. Termination
Either party may terminate services in accordance with the agreed notice period.

Upon termination:
  • Outstanding fees become immediately due.
  • Access to services may cease.
  • The Client must return or destroy confidential information where requested.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
21. Amendments
We reserve the right to update these Terms from time to time.

The latest version will be made available on our website and will apply from the date of publication.
